I had the same problem, and it was showing up in other programs that
were somehow related to IE, like MS Money and MS Messenger.

I tried various ways to uninstall and reinstall the applications, to no
avail. Finally I uninstalled SP2, and used the original XP disk to do an
Upgrade. During the Upgrade/repair I had to kill a stalled unregmp2.exe
process by bringing up taskmgr.exe (shift+F10 to bring up command
prompt). Now I'm logged in and its doing its updates. IE seems to be
working fine.
