My password will not work any more and I am unable to access my computer. I
have windows XP Pro and i have tried using the CTL ATL Delete and using
Administrator as the log in name. When i try to log in with administrator I
do not use a password like your supposed too. It then says can not access
acount due to account restrictions. What does this mean and how can I fix
this.

Once logged in as admin, right click the file in question and 'take
ownership' of it.

The OP can not even use the "administrator" account. The account has been
"restricted!"

If there are no other accounts on the computer, then you'll have to blow away your user password. Or, alternatively, you can boot from the XP CD (assuming that you don't have an OEM installation - Pre-installed on the PC) and do a parallel installation. You would at least be able to take ownership of the old Documents and Settings folder, and any others, and be able to salvage your data.
